Dutch Corporate Counsel

The team:
The legal team consists of highly collaborative and engaging professionals. You will be working in an international cross-functional team, supporting the development of revolutionary multispecific antibody therapeutics. Joining Merus means your joining our mission to close in on cancer and to make medicines that address unmet needs in cancer treatment. The successful candidate will be based in Utrecht, the Netherlands, at the Company’s headquarters.
The role
The Corporate Counsel will provide leadership within the legal function, and serve as a key partner to the management and staff on a wide range of legal matters, including as the responsible party for matters under the Dutch Corporate Governance Code (DCGC), legal aspects related to public reporting under the Annual Statutory Board Report, and Dutch legal aspects related to the Nasdaq Listing Rules and compliance with Securities Exchange Commission regulations, including Annual and Quarterly filings on Form 10K, 10Q, Proxy filings, Registration statements and related filings. Further, this person will support the General Counsel in board of director and board committee meeting preparation, particularly as it concerns Dutch legal matters.
This person will work closely with the international legal team (including three colleagues in the Netherlands, and three in the United States) on a diverse array of legal matters, handling a variety of legal issues related to research, development, manufacturing, clinical development, compliance, governance, and general corporate matters. The Corporate Counsel has detailed knowledge of business needs, values, and objectives, and applies that to implement legal strategy for business-oriented solutions to complex questions.
Along with cultivating an enriching and inspiring legal function and strategy at the company, the Corporate Counsel is a key partner to the business and Management Team in driving the strategy and execution for the growth and development of the Company to deliver on its commitment to bring new medicines to patients with serious unmet medical needs. This includes supporting the development, compliance, and financing of enhanced compliance as the company continues to grow into late-stage clinical, and potential commercial, development.

Key Responsibilities
- Compliance with applicable law, including DCGC, public reporting, and privacy matters;
- Ensuring appropriate policies and processes for legal governance of a Dutch company listed on the Nasdaq, keeping up with these needs relating to all aspects of the company life cycle, achieved by developing and maintaining up-to-date legal-related policies, and procedures to comply with international, federal, state, and local legal requirements.
- Partnering with different business units to identify legal issues, provide legal options and strategic counsel to assist company in meeting its business and legal objectives.
- Drafting, negotiating and interpreting biotechnology and other corporate agreements, including clinical trial agreements; master service agreements; confidentiality agreements; consulting agreements; manufacturing agreements; licensing and research collaborations; data protection agreements; and other strategic agreements for drug development, manufacture and supply and commercialization and corporate administration.
- Contributing to the development of the company’s overall legal strategy.
- Interacting with external counsel, advisors, external vendors, and business partners.
- Working collaboratively and creatively with internal clients by clearly and effectively rendering practical and timely legal advice on complex issues/concepts.
- Advising on the interpretation of legal documents and applicable laws and regulations in a manner that provides practical legal advice while properly managing risk to the organization.
- Keeping informed of new laws, regulations, and industry trends affecting the organization, and assisting with development of policies and training as needed.
- Advising management within the company on a variety of matters including contracts, corporate compliance, and regulatory matters.
- Providing training to the company on legal topics pertaining to relevant legal policies and processes.
- Contribute to ensuring that the legal department provides a safe and confidential environment to address company legal issues or concerns resolved through a process that is effective, thorough, and timely.
Areas of Support
- Corporate compliance and governance initiatives such as risk management, departmental goals, policy generation and budgeting.
- Legal operations matters.
- Litigation, risk management matters, and dispute resolution.
- Identifying and project managing in an effective and efficient manner the resolution of legal questions that require assistance of external experts and outside counsel.
- Strategic partner capable of providing independent, candid and direct feedback to the Management Team to address day-to-day legal strategic issues within areas of responsibility.
- Key advisor to the board of directors and committees on matters of corporate governance.
- Lead by example and encourage fellow legal team members to behave in a manner consistent with implementation of the mission, vision, values, and corporate strategies of the organization, and as advocates for the organization and all its staff.
Qualifications
- Requires a minimum of 10 years of legal experience comprising a mix of law firm and in-house experience, that includes at least 3 years in a role at a life sciences company, and accountable for corporate governance and reporting responsibilities.
- A qualified Dutch advocaat.
- Expertise in corporate governance, privacy law including the General Data Protection Regulation, and public reporting for a public company listed on a US exchange.
- A passion for all legal matters no matter how large or small.
- Proven skills as an effective team player in a fast-paced, high growth business, who engenders trust, credibility, and confidence within and outside the company.
The Dutch Corporate Counsel shall be located in Utrecht, the Netherlands, and willing to travel to and from this office on a semi-regular basis, including to the company’s offices in the US.
